These terms are an agreement between you and Ember Ventures Ltd ("MagicReel", "we", "us") and govern your use of the MagicReel mobile app and the magicreel.io website (together, the "Service"). By using the Service you agree to these terms. If you don't agree, please don't use the Service.

1. What MagicReel does

MagicReel uses artificial intelligence to transform video clips you provide into animated versions in a range of visual styles, keeping your original motion and sound. Rendering happens on our servers; a typical render completes in about one to two minutes, though times vary with clip length and demand.

2. Eligibility

You must be at least 13 years old to use MagicReel. If you are under 18, you may use the Service only with the involvement and consent of a parent or guardian, and any purchase must be made or approved by them.

3. Your content

• You own your videos. You keep all rights to the clips you upload and to the animations generated from them.
• Licence to process. You grant us a limited, worldwide, non-exclusive licence to host, copy, and process your clips solely to operate the Service - that is, to generate and deliver your animations. This licence ends when the content is deleted from our systems.
• Your responsibility. You confirm you have the necessary rights to any video you upload, including the consent of identifiable people who appear in it. Don't upload content that is unlawful, infringes someone else's rights, or that you don't have permission to use.

4. Generated content

• Subject to these terms and to the rights of any third parties appearing in your source footage, your finished animations are yours to keep, post, and use - personally or commercially.
• AI output is inherently variable. Results depend on your footage, the chosen style, and the model; we do not guarantee any particular look, likeness accuracy, or quality, and re-rendering the same clip may produce different results.
• You are responsible for how you use generated content, including complying with the laws that apply to you (for example, not using it to mislead, harass, or impersonate).

5. Credits, subscriptions, and billing

• Credits. Renders consume credits based on the length of your clip. Credit costs are shown in the app before you render.
• Subscriptions. Subscription plans include a credit allowance that refreshes each billing period. Unused allowance credits do not roll over unless we say otherwise. Purchased credit packs remain available until used.
• Billing. All payments are processed by Apple (App Store) or, when available, Google (Google Play) under their terms. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period - you can cancel any time in your App Store or Google Play account settings. Deleting the app does not cancel a subscription.
• Refunds. Refunds are handled by the app store you purchased through, under its policies. Credits spent on completed renders are not refundable by us, except where the law requires.
• Changes. We may change prices, plans, or credit amounts prospectively; changes won't affect a period you've already paid for.

6. Acceptable use

You agree not to:

• upload content that is illegal, sexually exploitative, or that depicts or endangers minors in any harmful way;
• use the Service to create content intended to deceive, defame, harass, or impersonate any person, or to violate anyone's privacy or publicity rights;
• reverse engineer, scrape, probe, overload, or interfere with the Service, or attempt to bypass usage limits, credits, or security measures;
• resell or provide the Service to third parties as your own offering without our written agreement.

We may remove content or suspend accounts that violate these rules.

7. Intellectual property

The Service - including the app, website, branding, and the design of our animation styles - belongs to Ember Ventures Ltd and its licensors. Style names in MagicReel are our own descriptive names for original visual treatments; MagicReel is not affiliated with, endorsed by, or connected to any film studio, animation house, brand, or franchise, and no style is a copy of any specific copyrighted work.

8. Third-party services

The Service depends on third-party infrastructure (such as AI processing and hosting providers and the app stores). Their availability is outside our control, and their terms apply to their handling of payments and platform features.

9. Availability and changes to the Service

We are constantly improving MagicReel and may add, change, or remove features - including animation styles - at any time. We aim for high availability but the Service is provided without a guarantee of uninterrupted operation.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms affects statutory rights that cannot be excluded, including your rights as a consumer.

11. Limitation of liability

To the fullest extent permitted by law, Ember Ventures Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and £50. Nothing in these terms excludes liability for fraud, or for death or personal injury caused by negligence.

12. Indemnity

You agree to indemnify us against claims arising from content you upload without the necessary rights or from your breach of these terms.

13. Termination

You can stop using MagicReel at any time. We may suspend or terminate your access if you materially breach these terms. Sections that by their nature should survive (including 4, 7, and 10 - 12) survive termination.

14. Changes to these terms

We may update these terms from time to time. For material changes we will give notice in the app or on this page before they take effect; continuing to use the Service after that means you accept the updated terms.

15. Governing law

These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales - except that if you are a consumer, you keep the protection of the mandatory laws, and the right to bring proceedings in the courts, of the country where you live.
